Client Agreement. Our promises, in plain words.
You accept this once. Each project then gets a short proposal with its scope, price and dates.
Version 2026-10 · Last updated:
How this agreement works.
This agreement is between Gorilla Perch, a DBA of Wrong Aspect LLC, Utah, United States ("we"), and the business that accepts it ("you").
Each project also has a proposal: what we will do, the price and the dates. Where the proposal and this agreement differ, the proposal wins. Anything special we agree for your business goes in the proposal.
You accept this agreement once. It covers every proposal you accept after that, until we publish a new version. A new version applies to new proposals; for monthly services, we tell you 30 days before it applies, and you can cancel instead.
Websites.
We build what your proposal describes. A revision is a small change to something we built: a word, a photo, a colour, a layout tweak. A new page, section or feature is new work, and we quote it before we start.
Your part is the answers, photos and access we ask for. The launch date in your proposal counts from the day we have them.
If we miss the launch date we promised, for reasons on our side, your first month of Care is free.
We build for current versions of Chrome, Safari, Edge and Firefox, on phones, tablets and computers.
If something we built doesn't work the way we agreed, we fix it free. Other changes after launch are part of Care, or we quote them.
When a project goes quiet.
A website waits on your answers and photos. If we hear nothing for 10 business days, we move on to other work and pick yours up again when you reply.
After 45 days without a reply, the project is paused and the rest of the price is due. After 90 days, the project is closed: what you have paid covers the work done, and we hand over what we built.
Paying for a website.
You pay 50% to start. The other 50% is due at launch, or 30 days after your interview, whichever comes first, so a project that stalls still gets paid.
Or you pay the same total in three monthly payments, the first one to start, at no extra cost.
If you cancel before your interview, we refund your deposit in full. After that, you pay for the work done so far, which we estimate fairly and show you, and we hand over everything built.
Care.
Care is $149 a month and Care Plus $349 a month, with the time for changes and the reports the Care page lists. Extra time is $95 an hour, and only with your yes.
- We host your site: a launch site on Cloudflare, in an account in your name; a WordPress site on a server we set up and look after.
- We apply software updates when they are safe, backing up first and checking right after. Bigger updates go on a test copy first.
- If your site is attacked, we restore it at no cost, as often as it takes. If a change made by your team breaks it, we restore it twice in any 30 days at no cost; after that, restores use your time or extra time.
- We work to keep your site secure, but no one can promise a site will never be attacked. After an attack, restoring your site is our responsibility, and our responsibility ends there.
- Tell us when something looks wrong. We watch for downtime, but you see your site in ways we don't.
- Care is billed monthly by card, from the day it starts. It is month to month: cancel any time with 30 days' notice. A month that has started isn't refunded.
- We may change Care prices with 30 days' written notice. If you don't want the new price, you can cancel before it applies.
- If you leave, we hand everything over: the site, its files and its accounts.
Sites we didn't build start with the Website and Lead Check ($295), which comes off any project, or off Care, within 60 days.
AI crews.
A crew is $750 a month for Starter or $1,500 a month for Full. Setup is $1,500, once, and free on a 12-month term. If you end a 12-month term early, the setup fee becomes due.
Month to month, you can stop with 30 days' notice. A month that has started isn't refunded.
Your crew runs on a server in your name, billed to you directly by the host (about $10 a month). It works with your own data, and the server and the data stay yours.
The crew records and drafts on its own. Anything that reaches a customer or moves money waits for your yes. Lead replies are the one exception: they answer new inquiries in seconds, and only with answers you have approved.
What you approve is yours, and so is the responsibility for it. Read drafts before you say yes.
A crew depends on other companies' services, such as Jobber, QuickBooks, Meta and your phone and email providers. They can change or stop their services; when they do, we adapt your crew as fast as we can, but we can't answer for their outages or changes.
Who owns what.
The domain and every account are in your name. Your words, photos, logo and data are always yours.
Once a project is paid in full, the site, its design and its code are yours. If we ever part ways, we hand everything over.
We keep the tools we bring to every project: our components, our EtchPress library, our crew framework and its skills, and the ways we work. We may reuse them for other clients, and you may use them in your site for as long as it exists.
Things licensed from others, such as fonts, stock photos and software, stay under their own licences. We tell you about any licence that costs money before we use it.
We may show the sites we build in our work and add a small "Site by Gorilla Perch" credit in your site's footer. Ask, and we leave yours out or remove the credit.
What you give us.
When you give us photos, text, logos or other material, you confirm you have the right to use them. If someone claims they don't, that claim is yours to answer, not ours.
We confirm the same for everything we bring.
AI in our work.
We use AI tools from established companies, such as Anthropic and OpenAI, to draft words, images and code, and to run AI crews. A person on our team reviews the work before it reaches you.
AI can be wrong. You review what we show you, and you approve it before it goes live. Facts about your business, such as prices, areas and licences, are yours to check.
What we don't promise.
- Search: we promise a site Google can read when it launches. No one can promise a ranking.
- Accessibility: we follow good practice in design, colour and controls. If your business must meet a specific standard, tell us, and it goes in your proposal.
- Legal needs: what your business must publish, such as privacy terms, is yours to decide with your own advisers. We are not lawyers.
- Email: messages from your site can land in spam or go missing. Check your spam folder and your form inbox.
- Other people's work: if someone else changes your site, such as another developer or a search firm, Care doesn't cover fixing it. We quote it.
- Domains: the domain is in your name, and keeping its renewal paid is yours.
Payments.
Prices are in US dollars. Invoices are due within 7 days. You can pay by card or bank transfer through Stripe.
If a Care or crew invoice is more than 14 days late, we tell you first, then pause the service until it's paid. There are no late fees.
Our team.
We are a remote team working from Colombia, so the work is done outside the United States. We may bring in trusted contractors, who follow this agreement too.
We keep your private information private, and you do the same with ours. Neither of us hires the other's people while we work together and for 12 months after.
Limits of liability.
Our total liability for any claim is limited to what you paid us in the 12 months before it. We are not liable for lost profits or other indirect losses.
If a claim against us comes from material you gave us or something you approved, you cover it.
Neither of us is responsible for delays caused by events beyond our control, such as natural disasters, wars or outages of the internet's main services.
Nothing here limits rights the law gives you that can't be limited.
If we disagree.
We talk first. If that doesn't settle it, we try mediation. If we still can't agree, the courts of Salt Lake County, Utah decide, under Utah law.
Accepting this agreement.
You accept this agreement by ticking "I agree" when you accept a proposal or start a service with us online, or by signing a copy. Either way, we email you a copy of exactly what you accepted: this agreement's version, what you started, your name and the time.
This agreement and your proposals are our whole agreement. Our website terms cover using the website.
